Terms of Service

These Terms of Service (“Terms”) govern your use of Fireworks for Square (the “Service”), operated by Fireworks Effect AI, LLC (“we,” “us,” or “our”). By using the Service, you agree to these Terms.

1. The Service

Fireworks for Square is an invoice-to-inventory tool that integrates with your Square account. The Service allows you to upload vendor invoices, match the products on them to your Square catalog, create catalog items that do not yet exist, and record inventory as it is received.

2. Square Account Authorization

The Service requires OAuth authorization to access your Square account data. By connecting your Square account, you grant us permission to read and write catalog items, inventory counts, vendor data, and location information on your behalf. You may revoke this access at any time by disconnecting your account within the Service or through your Square Dashboard.

3. Your Responsibilities

• You are responsible for the accuracy of data you upload and enter into the Service.
• You are responsible for managing access to the Service within your organization.
• You agree not to use the Service for any unlawful purpose or in violation of Square’s terms of service.
• You are responsible for maintaining the security of your Square account credentials.

4. Data Ownership

You retain ownership of all data you upload to or create within the Service, including purchase orders, vendor documents, and receiving records. We do not claim ownership of your data.

You grant us a limited license to process your data solely for the purpose of providing the Service, including sending uploaded documents to third-party AI services for line item extraction.

5. AI-Processed Content

The Service uses artificial intelligence (Anthropic Claude) to extract line items from uploaded documents. AI extraction may produce errors. You are responsible for reviewing and verifying extracted data before finalizing purchase orders. We are not liable for errors in AI-extracted content.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service depends on third-party infrastructure (AWS, Square API) that may experience downtime. We are not liable for losses resulting from service interruptions.

7. Limitation of Liability

To the maximum extent permitted by law, Fireworks Effect AI, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

8. Warranty Disclaimer

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

9. Modifications

We may modify the Service or these Terms at any time. Material changes to Terms will be communicated through the Service. Continued use after changes constitutes acceptance.

10. Subscription & Billing

Fireworks for Square is offered on a monthly subscription basis. Pricing and plan options are displayed at signup and in your account settings. Payment is processed by Stripe; we do not store your full card details on our servers.

Free trial. New subscriptions include a 14-day free trial. No payment method is required to start the trial. You will not be charged during the trial, and you may cancel at any time.

What happens when the trial ends. If you have not added a payment method by the end of the trial, your subscription is paused rather than charged. A paused account keeps your data and stops your access to the Service until you add a payment method and resume. We will not charge you without a payment method you have provided. If you have added a payment method before the trial ends, the first monthly billing period begins on day 15 at the then-current price for your plan.

Auto-renewal. Once you have added a payment method, subscriptions renew automatically each month at the then-current price for your plan until cancelled. By adding a payment method you authorize us (through Stripe) to charge it on each renewal date. Until you add one, no renewal charge can or will occur.

Cancellation. You may cancel at any time through the Stripe Customer Portal linked from your account settings. Cancellation stops future renewals; your access continues through the end of the current billing period, after which the Service will be deactivated. We do not issue prorated refunds for partial months, except where required by law.

Price changes. We may change subscription pricing. Existing subscribers will receive at least 30 days' notice before a price change takes effect on their account.

Failed payments. If a renewal payment fails, we may retry the charge and may suspend access to the Service until payment succeeds. Persistent failure to pay may result in termination under Section 11.

11. Termination

You may stop using the Service at any time by cancelling your subscription (see Section 10) and disconnecting your Square account. We may suspend or terminate your access if you violate these Terms, fail to pay amounts owed, or if required by law.

12. Governing Law

These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles.
